Terms of Service — GDMaestro

These Terms of Service (the "Terms") govern your purchase and use of GDMaestro (the "Software"), a Model Context Protocol server for the Godot engine supplied by Asymptopia Ltd ("Asymptopia", "we", "us"). The Software is proprietary and confidential, made available under a commercial license only, and is not licensed under the MIT License or any other open-source license. By purchasing, installing, or using the Software you agree to these Terms. If you do not agree, do not install or use the Software.
Where you have entered into a separate signed commercial agreement with Asymptopia, that agreement prevails to the extent of any conflict with these Terms.
1. Definitions
"You" or "Licensee" means the individual or the single legal entity that obtained the Software under these Terms. A "Seat" authorizes one named individual (an "Authorized User") to install and use the Software; where the Licensee is an entity, an Authorized User is an employee or contractor using the Software on the entity's behalf. Your order specifies the number of Seats you hold; if it does not specify a number, you hold one (1) Seat. A "Tier" means one of the three one-time license tiers Asymptopia offers for the Software — Apprentice (free), Virtuoso (Std), or Maestro (Full) — each granting the capabilities described for that tier on Asymptopia's website at the time of your order. An "Update" is any new version, build, patch, or release of the Software within the same major version line (for example, all 1.x releases) that Asymptopia makes available; a new major version line (for example, 2.0) is not an Update and is offered separately. A "Competing Product" means a Server that you build whose primary purpose is to be sold (or otherwise commercially provided) as a direct substitute for the Software, and whose function is to expose the Godot engine or a derivative of it through a Model Context Protocol server. A "Server" means a Model Context Protocol server distributed to third parties. Building a game, application, plugin, tool, or device that uses the Godot engine — even one that integrates a Model Context Protocol server or otherwise competes with Asymptopia's products — is not a Competing Product. Your internal use of the Software, and the games and projects you build with it, are not a Competing Product.
2. License Grant
Subject to your compliance with these Terms, you are granted a worldwide, non-exclusive, non-sublicensable right to install and use the Software, in object-code form only, on hardware you own or control, up to your number of Seats — each Seat used by one Authorized User — to create your own games and other software projects, whether for personal, educational, or commercial purposes. A single Authorized User may install the Software on more than one device for that same user's own use.
You may permanently reassign a Seat from one individual to another (for example, when staff change), provided the previous individual stops using the Software. Seats may not be shared, rotated, or timeshared to let more individuals use the Software than the number of Seats you hold.
The grant for any build you have lawfully obtained is perpetual: it is a one-time purchase and does not depend on any ongoing or recurring payment. See Section 4 for how free Updates work within a major version line, and how a future major version is offered.
3. Your Projects
Games and other projects you build using the Software are yours. Nothing in these Terms claims any right in them or restricts how you use, distribute, or sell them. The restrictions in Section 5 apply only to the Software itself, not to what you make with it. For the avoidance of doubt, a game or other project built with the Software is not a Competing Product merely because it uses the Godot engine.
4. Tiers, Updates, and Fees
GDMaestro is sold under three one-time Tiers — Apprentice ($0), Virtuoso ($29), and Maestro ($59) — each described on Asymptopia's website. There is no subscription: a paid Tier is a single, one-time fee per Seat, not a recurring charge, and the Free Tier requires only a valid email address to receive a license key.
- Your order covers the number of Seats you purchase at your chosen Tier. Purchasing additional Seats later is a separate one-time purchase at Asymptopia's then-current price for that Tier.
- While your license remains valid, you may download and use Updates — new versions within the same major version line (for example, all 1.x releases) — at no additional charge under these same Terms. A new major version line (for example, 2.0) is not included and is offered separately, typically for an additional one-time fee.
- There is nothing to cancel: your right to use the build delivered to you is perpetual from the moment of purchase (see Section 2).
- Fees are charged once, at the time of purchase, and are non-refundable, except where a refund is required by applicable law or for a Tier license not delivered by Asymptopia.
- Immediate download and your right to cancel. If you buy as a consumer, you normally have a statutory 14-day period in which to cancel a distance purchase of digital content. Because GDMaestro is delivered by immediate download, you expressly consent to supply beginning as soon as your license key and download links are made available to you, and you acknowledge that you lose the right to cancel once that supply has begun. Ticking the terms-of-service box at checkout (or, for the Free Tier, submitting the signup form) records that consent and acknowledgment. This does not affect any statutory right you have that cannot be waived.
5. Restrictions
You may not, without the prior written consent of Asymptopia:
- copy, reproduce, modify, adapt, translate, or create derivative works of the Software, in whole or in part (making a reasonable number of backup copies for your own use excepted);
- distribute, sublicense, rent, lease, lend, sell, or otherwise transfer the Software or any copy of it to any third party, or make the Software's functionality available to a third party as a hosted or managed service;
- share, publish, or transfer any license key, credential, or activation token issued to you, use one that was not issued to you, or permit more named individuals to use the Software than the number of Seats you hold;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent this restriction is prohibited by applicable law;
- remove, alter, or obscure any copyright, trademark, or other proprietary notice contained in the Software;
- use the Software to build a Competing Product (as defined above).
6. Third-Party Components
The Software incorporates components that remain subject to their own licenses, reproduced in the THIRD_PARTY_NOTICES that accompany the Software. Those components are provided "AS IS" under the terms of their respective licenses, and these Terms do not apply to them.
7. Warranty and Disclaimer
For the current major version line of the Tier you purchased, Asymptopia warrants that the Software materially conforms to its documentation for the version of the Software you licensed, where "documentation" means the released user documentation accompanying that version: the README, the installation guide, the live-game-channel specification, and the Warranty & Support statement (these documents are published alongside each release and are the reference that this warranty applies to). Your sole remedy for breach of this warranty is a refund of the fees paid for your license. Outside the current major version line covered by your purchase, THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE SOFTWARE REMAINS WITH YOU.
8. Limitation of Liability
You acknowledge that the Software is a tool that executes instructions — including destructive operations (deletes, removals, stopping projects) — against your projects, and that you are responsible for authorizing, reviewing, and backing up those operations and your projects. To the fullest extent permitted by law, Asymptopia is not liable for loss or corruption of data arising from operations you authorized. This disclaimer does not exclude or limit Asymptopia's liability for loss or corruption of data caused by Asymptopia's negligence, fraud, or intentional default, which remains subject to the aggregate cap in this Section.
ASYMPTOPIA'S TOTAL AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THESE TERMS, WHETHER IN AN ACTION OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, IS LIMITED TO THE FEES YOU PAID FOR YOUR LICENSE.
This limitation does not affect Asymptopia's obligation to refund prepaid fees for a Tier license not delivered, and nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
9. Term and Termination
Your right to use each delivered build is perpetual from the moment of purchase. If you breach any term of these Terms other than a Material Breach, your entitlement to further Updates and support terminates immediately, but your right to use the most recent build delivered to you before the breach continues under these Terms. On a Material Breach, these Terms terminate and you must cease all use of the Software and destroy all copies. A "Material Breach" means unauthorized copying, distribution, sublicensing, or other transfer of the Software, sharing of license keys, credentials, or activation tokens, or using the Software to build a Competing Product. Sections 5 through 11 survive termination.
10. Governing Law
These Terms are governed by the laws of England and Wales, without regard to their conflict-of-laws rules. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or relating to them. Nothing here removes any statutory consumer right you have that cannot be waived by agreement. In particular, if you act as a consumer and reside outside the UK, the mandatory consumer-protection rules of your country of residence that cannot lawfully be excluded also continue to apply to your dealings with us. Asymptopia's obligations under these Terms apply wherever they arise, subject to applicable export, sanctions, and other mandatory law.
11. General
These Terms — together with any separate signed commercial agreement, which prevails to the extent of any conflict — are the entire agreement between you and Asymptopia regarding the Software. If any provision is held unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver of it. You may transfer these Terms in their entirety (all Seats) with the prior written consent of Asymptopia, which shall not be unreasonably withheld, provided the transferee agrees in writing to be bound by these Terms and you and your Authorized Users cease all use of the Software on transfer. A transfer does not transfer any free-Update or support entitlement unless Asymptopia agrees in writing. Asymptopia may assign or novate these Terms to an affiliate or to a successor in a merger, acquisition, or asset sale.
